RKB FRUIT & VEG LTD T/A Box Fresh – Terms and Conditions (B2B)

1. Introduction
   These Terms and Conditions (“Terms”) govern all sales and supply of goods by RKB FRUIT & VEG LTD T/A Box Fresh (“we”, “us”, “our”) to business customers (“you”, “your”). By placing an order with us via phone, WhatsApp, or our website, you agree to these Terms.
   
   
2. Orders and Acceptance
   2.1 Orders may be placed via telephone, WhatsApp, or our website.
   2.2 All orders are subject to availability and acceptance.
   2.3 We reserve the right to refuse or cancel any order without obligation.
   
   
3. Delivery
   3.1 Deliveries are made six days a week, using our own logistics or approved third-party partners.
   3.2 No customer collections are permitted.
   3.3 Delivery dates are approximate. We are not liable for delays caused by events beyond our control.
   3.4 Risk passes to you upon delivery.
   
   
4. Products
   4.1 Product images and descriptions are for reference only. Pack sizes, appearance, and weights may vary depending on market availability.
   4.2 We reserve the right to substitute similar products of equal or higher value if an item is unavailable, unless otherwise instructed by you.
   
   
5. Prices and Payment
   5.1 Prices are quoted exclusive of VAT unless otherwise stated.
   5.2 Payment terms are agreed individually per account.
   5.3 Where credit is granted, late payment interest and fees may be charged in accordance with our account agreement.
   5.4 We reserve the right to suspend or cancel deliveries for overdue accounts.
   
   
6. Refunds and Returns
   6.1 Any issues with delivered goods must be reported within 24 hours of delivery.
   6.2 Complaints must include photo evidence where applicable.
   6.3 All returns are subject to inspection. We may collect and replace, refund, or reject the return depending on condition and circumstances.
   6.4 We do not accept returns for perishable goods unless proven to be faulty or damaged on arrival.
   
   
7. Partnered Goods
   7.1 We supply goods directly and on behalf of partnered companies.
   7.2 For partnered products, we either hold stock or facilitate dropship delivery.
   7.3 Responsibility for product condition lies with the original supplier unless stated otherwise in writing.
   
   
8. Limitation of Liability
   8.1 We shall not be liable for loss of profit, goodwill, or any indirect or consequential loss arising out of or in connection with the supply or use of our goods.
   8.2 Our total liability shall not exceed the value of the goods supplied in the relevant order.
   
   
9. Force Majeure
   We shall not be liable for any failure or delay in performance caused by events outside our reasonable control, including but not limited to strikes, transport disruption, or adverse weather.
   
   
10. Governing Law
    These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
